Job Summary
We are seeking an experienced Corporate Secretary & Assistant General Counsel to lead corporate governance, public company compliance, and securities law support for a NYSE-listed organization headquartered in New York, NY. This role partners closely with the General Counsel and executive leadership to ensure ongoing compliance with SEC regulations, federal securities laws, corporate governance standards, and New York Stock Exchange (NYSE) listing requirements.
As Corporate Secretary, you will serve as a strategic advisor to the Board of Directors and its Committees, overseeing governance operations, corporate recordkeeping, disclosure obligations, and shareholder communications. This position is ideal for a senior legal professional with deep expertise in public company reporting (10-K, 10-Q, 8-K), insider trading compliance, governance best practices, and board-level advisory.
Key Responsibilities
Corporate Governance & Board Support
- Serve as the primary Corporate Secretary to the Board of Directors and Board Committees, advising on governance requirements, board processes, and best practices.
- Plan, organize, and support Board and Committee meetings, including preparation of agendas, minutes, materials, and resolutions.
- Maintain and enhance the corporate governance framework, including committee charters, governance guidelines, policies, and board procedures.
- Support annual meeting and shareholder governance processes, including proxy-related workflows and stakeholder communications.
Public Company Compliance & Disclosure
- Partner with legal, finance, and external counsel to support SEC reporting and disclosure obligations, including Forms 10-K, 10-Q, 8-K, and related filings.
- Ensure ongoing compliance with SEC rules, federal securities laws, and applicable corporate governance requirements.
- Support disclosure controls and procedures, including coordination of disclosure committee workflows (where applicable).
- Oversee maintenance of corporate records and entity documentation, ensuring audit-ready governance records and accurate corporate filings.
NYSE Listing Standards & Securities Law
- Monitor and support compliance with NYSE listing standards, governance requirements, and related public company obligations.
- Provide guidance on securities law issues impacting corporate actions, communications, and governance decisions.
- Support implementation and administration of insider trading policies, trading windows, pre-clearance processes, and related compliance programs.
- Partner cross-functionally to identify, evaluate, and mitigate governance and compliance risks.
Shareholder & Stakeholder Communications
- Oversee governance-facing shareholder communications and support investor-related disclosures as needed in coordination with internal stakeholders.
- Maintain accurate corporate and governance disclosures across internal systems and external platforms, ensuring alignment with regulatory requirements.
Required Qualifications
- Significant experience supporting public company governance and compliance, preferably within a NYSE-listed environment.
- Strong working knowledge of SEC regulations, federal securities laws, and corporate governance best practices.
- Direct experience supporting or coordinating public company reporting cycles (10-K, 10-Q, 8-K) and related disclosure processes.
- Demonstrated ability to advise senior leadership and board-level stakeholders with discretion, clarity, and strong judgment.
- Exceptional organizational skills and attention to detail, including governance documentation and corporate recordkeeping.
Preferred Qualifications
- Prior experience serving as, or supporting, the Corporate Secretary function for a public company.
- Familiarity with NYSE regulations and practical application of listing requirements.
- Experience designing or enhancing insider trading compliance programs and governance policies.
- Background supporting complex governance matters across multiple committees and stakeholders.
